Newlook Capital is a private equity firm that currently manages two industry-specialized funds. Each fund has its own focused, experienced, and aligned management, and a defined strategy.

Newlook Capital seeks businesses that enjoy a distinct competitive advantage or have an established position in an industry that exhibits barriers to entry. Consolidation opportunities are of particular interest to Newlook. Newlook seeks to develop funds which assist in achieving a diversified portfolio, seeking out asset classes that have low or negative correlations to those currently available to investors in today’s market.

Thesis

The Newlook Dental Fund has been created to provide a unique opportunity for Retail Canadians to participate in a dental roll up strategy across Canada, taking proven dental practices with a strong track record and consolidating them into one fund.

Structured as a debenture to Trust unitholders (which is secured by the assets of the practices), the investment offers a targeted 9% preferred annual return (paid quarterly) to investors. In comparison, banks will lend up to 100% financing in the Dental market, showcasing their recognition of the stability of the dental market in all economic conditions.

Dentistry has high net margins relative to other industries operating in the healthcare space, which, in management’s opinion, has an ability to convert profits into cash flow. A fund comprised of investments in several well-managed clinics can be an attractive component within a larger portfolio of investments. Diversify with Dentistry.

• Distribution: Target 9% annual distribution, payable quarterly (as income)
• Minimum investment: $10,000
• Target offering: $120 million
• Eligibility: Qualified under the Income Tax Act for registered plans (RRSP, RRIF, RDSP, RESP and TFSA)
• Investment Term: Five-year term with two one-year extension options (at the discretion of Dentalook)

Gavin Treanor (Presenter) – VP of External Sales, Partner
Gavin is an Aerospace Engineer by training, having started his career with Rand Worldwide and quickly moved to Country Manager running the Asia-Pacific division based in Australia. Gavin then founded a Merchant Banking firm focused on identifying and developing strategic metals for B.R.I.C. Countries and had offices in Australia, China and Africa. In the last 10 years, he has founded, raised substantial capital and sold several entities operating in Africa, Asia and North America. Gavin brings a wealth of knowledge and experience in the capital markets, asset management, mergers, and acquisitions to the Newlook Team.

Dr. Said Mazahreh, DDS, (aka “Dr Sam”) – President and CEO & Director of Dentalook
Dr. Sam has been a general practitioner in dentistry for over 15 years. After finishing his degree in dentistry from the Ivy League University of Pennsylvania, Dr. Sam attended a general practice residency in New York and then relocated to Canada. In 2018, he connected with Newlook Capital to form Dentalook.

Elroy Gust – President & CEO
Elroy is President, CEO and founder of Newlook Capital. Prior to founding Newlook Capital, Elroy started his career with positions at several banks as a commercial lender, moving on to hold several senior level positions at a multinational logistics company. During the tenure of his 15-year career with Newlook Capital, Elroy has been directly involved with real estate and private equity investments totalling in excess of $150,000,000.

Abbas Osman – Chief Investment Officer, Partner
Before joining the team, Abbas closed several deals with Newlook Capital in his capacity as a Senior Advisor/Co-leader on Direct Elevator, True Canadian and New Taste Partners. At that time, he was the Managing Director of Vestarck Capital, an investment company that serves clients from the Middle East & North America.

Tony Diab CPA, CA – Chief Financial Officer, Partner
Tony is Chief Financial Officer of Newlook Capital. Tony is involved in financial and strategic oversight of existing businesses as well as potential new acquisitions. Prior to joining Newlook Capital, Tony worked in public accounting for over nine years in the areas of audit, tax (with a specialty in International tax) and advisory.
